These Terms and Conditions ("Terms") govern your access to and use of the website at www.vigopaints.com(the "Website") and any inquiry, quotation, purchase, or related service from Vigo Paints("we", "us", or "our").

By browsing the Website, contacting us, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, please do not use the Website or purchase our products.

1. Who we are

Vigo Paints manufactures and supplies paints, coatings, and related wall-preparation products for homes, contractors, and commercial projects — available to customers wherever they order from.

2. Definitions

• "Customer" / "you" means any person or business that uses the Website or purchases products from us.
• "Products" means paints, putties, primers, enamels, varnishes, textured finishes, roof coatings, and any other goods we offer from time to time.
• "Order" means a confirmed purchase agreement for Products, including quantity, price, and delivery or collection terms.
• "Quote" means a price or availability estimate we provide by phone, WhatsApp, email, or in person. Quotes are invitations to treat and are not binding until we confirm an Order.

3. Using this Website

You agree to use the Website only for lawful purposes and in a way that does not:

• infringe our rights or the rights of others;
• attempt to gain unauthorised access to our systems, data, or networks;
• introduce malware, scrape content aggressively, or disrupt the Website;
• misrepresent your identity or submit false inquiries, orders, or contact details.

We may suspend or restrict access to the Website at any time for maintenance, security, or operational reasons. We do not guarantee that the Website will be uninterrupted, error-free, or available at all times.

4. Intellectual property

All content on the Website — including text, logos, product names, images, graphics, layout, and downloadable files (such as colour charts) — is owned by us or our licensors and is protected by applicable intellectual property laws.

You may view and download materials for personal or internal business reference related to evaluating or purchasing our Products. You may not copy, republish, sell, or commercially exploit Website content without our prior written consent, except as allowed by law.

"Vigo Paints", related brand marks, and product names used on this Website are trademarks or trade names of Vigo Paints or its affiliates. Dulux® and related colour systems are trademarks of their respective owners. References to Dulux CP5 colours are for product matching and tinting guidance only and do not imply endorsement by AkzoNobel or Dulux beyond our supply relationship.

5. Product information, colours, and specifications

Product descriptions, applications, benefits, pack sizes, coverage estimates, images, and technical notes on the Website are provided for general information and marketing purposes. They are not a substitute for on-site assessment, a professional specification, or our written Order confirmation.

Colours: Our interactive colour chart uses Dulux CP5 codes with on-screen HEX approximations. Screen colours vary by device, display settings, lighting, and browser. Digital colours are not an exact match to physical paint. Before ordering large quantities or critical finishes, you should confirm colour against a physical Dulux CP5 chip or a sample painted on your substrate under the intended lighting.

Actual applied colour can also vary with base product, sheen (matt, silk, gloss), number of coats, substrate colour and porosity, primer used, batch tinting, application method, and drying conditions. We are not liable for colour dissatisfaction arising solely from screen preview or from application conditions outside our recommended practice.

We may update formulations, product names, packaging, or availability without prior notice. Always confirm current specifications and pricing before ordering.

Where the Website marks gallery images, testimonials, or other assets as demos or samples, treat them as illustrative only until replaced with verified project content.

6. Quotes, pricing, and orders

Prices shown on the Website (if any) or discussed informally are indicative unless confirmed in writing. Final pricing depends on product, colour/tint, quantity, packaging, delivery location, and any taxes or levies applicable under Ugandan law.

Quotes provided by phone, WhatsApp, email, or in person are valid only for the period stated on the quote (or, if none is stated, for seven (7) calendar days), unless we withdraw or revise them earlier due to stock, cost, or other changes.

An Order is formed only when we accept your request and confirm price, quantity, product/colour, payment terms, and collection or delivery arrangements. We reserve the right to refuse or cancel an Order (for example due to stock shortage, pricing error, suspected fraud, or inability to tint or supply a requested shade) and will notify you reasonably promptly.

You are responsible for ensuring that Order details — especially product type, Dulux CP5 or other colour code, finish, quantity, and delivery address — are accurate. Changes after confirmation may not be possible once tinting or production has started, and may attract additional charges.

7. Payment

Payment terms are as agreed on your Quote or Order confirmation (for example deposit, balance on collection, or full prepayment). Accepted methods may include cash, mobile money, bank transfer, or other methods we communicate from time to time.

Title to Products remains with us until we receive full cleared payment. Risk in the Products passes to you on collection from our premises or, for delivered Orders, on delivery to the agreed address (or to your nominated carrier), unless otherwise agreed in writing.

If payment is late, we may suspend further supply, charge reasonable recovery costs, and/or cancel unfulfilled portions of the Order.

8. Collection and delivery

Unless otherwise agreed, Products are available for collection from our premises during business hours. Delivery, where offered, is subject to availability, route, and agreed fees. Delivery times are estimates only and are not guaranteed.

You (or your agent) must inspect Products on collection or delivery and note any visible damage, shortage, or wrong product on the delivery note or by written notice to us within forty-eight (48) hours. Failure to notify us within that period may limit claims for transit or supply defects that were reasonably discoverable on inspection.

If delivery fails because of incorrect address details, absence of a receiving person, or refusal to accept, we may charge reasonable redelivery or storage fees.

9. Returns, exchanges, and custom tinting

Unopened Products in original, resalable condition may be considered for return or exchange at our discretion within seven (7) days of purchase or collection, subject to proof of purchase and inspection. Opened cans, partly used Products, and goods stored incorrectly are generally not returnable.

Tinted and custom-mixed colours (including colours matched to Dulux CP5 or customer samples) are made to order. Except where the Product is defective or we supplied the wrong colour/code as confirmed on your Order, tinted Products are non-returnable and non-refundable.

If we confirm a manufacturing or supply defect, our liability is limited, at our option, to replacement of the defective Product or a refund of the price paid for that Product. You must retain the Product and batch information for investigation.

10. Product performance and application

Paint performance depends heavily on surface preparation, substrate condition, climate, primer choice, dilution, application skill, and curing. Humidity, rain, dust, and sun can affect drying and durability. You (or your contractor) are responsible for following manufacturer guidance and good painting practice for the Product and substrate.

We do not supervise third-party contractors unless separately agreed in writing. Advice given by staff over phone, WhatsApp, or at our premises is general guidance only and does not create a warranty that a particular system will suit every site condition.

Except as required by applicable Ugandan consumer law, Products are supplied as-is for their ordinary purpose as described. Any additional warranty (express or implied) is excluded to the fullest extent permitted by law.

11. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded under the laws of Uganda, including liability for death or personal injury caused by our negligence where such exclusion is prohibited.

Subject to the above, to the maximum extent permitted by law:

• we are not liable for indirect, incidental, special, or consequential loss, including loss of profit, business interruption, or reputational harm;
• we are not liable for colour variation between screen displays, charts, chips, and applied finishes as described in Section 5;
• our total aggregate liability arising from any Order or Website use is limited to the amount you paid us for the specific Products giving rise to the claim;
• we are not liable for delays or failures caused by events beyond our reasonable control (see Force majeure).

12. Indemnity

You agree to indemnify and hold harmless Vigo Paints and its directors, employees, and agents from claims, losses, and expenses (including reasonable legal costs) arising from your misuse of the Website, inaccurate Order information, or breach of these Terms, except to the extent caused by our wilful misconduct.

13. Privacy and communications

When you contact us via the Website form, email, phone, or WhatsApp, we process personal data as described in our Privacy Policy. By submitting an inquiry, you consent to us contacting you about your request using the details you provide.

14. Third-party services and links

The Website may link to third-party platforms (for example WhatsApp or analytics providers). We are not responsible for third-party content, policies, or availability. Your use of those services is subject to their own terms.

15. Force majeure

We are not liable for failure or delay in performing our obligations where caused by circumstances beyond our reasonable control, including natural disasters, extreme weather, epidemic, war, civil unrest, labour disputes, utility failure, transport disruption, supplier failure, regulatory action, or cyber incidents. We will use reasonable efforts to minimise disruption and resume performance.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will change when we do. Continued use of the Website or placement of new Orders after changes constitutes acceptance of the revised Terms for those dealings. Material changes affecting existing confirmed Orders will not apply retroactively unless required by law or agreed with you.

17. Governing law and disputes

These Terms are governed by the laws of the Republic of Uganda. Subject to any mandatory consumer rights, the courts of Uganda have exclusive jurisdiction over disputes arising from these Terms or your use of the Website or purchase of Products. We encourage you to contact us first so we can try to resolve issues amicably.

18. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force. These Terms, together with any written Order confirmation and our Privacy Policy, constitute the entire agreement between you and us regarding Website use and Product sales, and supersede prior informal statements on the same subject, except where a signed contract expressly states otherwise.
